Nebraska charges $100 to file a Certificate of Organization online, then asks for a biennial report in odd-numbered years rather than an annual one, and puts no franchise or minimum tax on LLCs. Business profit is taxed on the owner's return, where the 2026 brackets run from 2.46 % to 4.55 %, after a standard deduction of $8,850 for a single filer and a personal exemption credit of $176. On $75,000 of profit, a single filer owes about $2,292 to Nebraska and $17,787 in total once self-employment tax and federal income tax are counted, so roughly 24 % of profit should go into a tax account. Nebraska follows the federal S election; at $120,000 of profit and a $50,000 salary, the election saves about $5,194 a year after $2,000 of payroll costs. The biennial report fee itself could not be confirmed on the Secretary of State fee page.
Nebraska at a glance, 2026
| LLC filing fee | $100 |
| Biennial Report | not verified |
| Income tax | 2.46 % to 4.55 % |
| S corporation election | followed by the state |
| Tax on $75,000 of profit (single) | $17,787 in all, $2,292 to Nebraska |
For 2026 the top Nebraska rate is 4.55 %, down from 5.20% in 2025, and current law schedules a further cut to 3.99% from 2027 (Nebraska DOR, tax rate chronology). That rate starts early: a single filer reaches it at $24,760 of taxable income, so for most full-time freelancers nearly all of the profit above the standard deduction is taxed at 4.55 %. The cuts matter more than the bracket edges here.

From profit to Nebraska tax
Nebraska starts from federal adjusted gross income, which already excludes half of your self-employment tax, health premiums paid as a self-employed person and retirement contributions. It then subtracts its own standard deduction, $8,850 single or $17,700 for a married couple, applies the brackets, and takes $176 per person off the result as a credit. The federal QBI deduction does not carry over, since it comes after AGI. A part-time consultant clearing $45,000 pays about $1,023 to Nebraska; a married couple with $120,000 of profit and no other income pays about $3,315. The state uses the federal quarterly calendar for estimates, so the quarterly estimated tax guide applies to both payments.
A newspaper notice and a report every other year
Two features set a Nebraska LLC apart from its neighbors. First, a new company is expected to publish a notice of organization in a legal newspaper near its designated office and then file proof of publication with the Secretary of State, whose fee page lists that filing alongside the $100 online certificate (Nebraska SOS, forms and fees). The newspaper charges are separate and vary by paper. The publication statute could only be read through an extract today, so check the current wording before you budget for it.
Second, the recurring filing is a biennial report, due by April 1 of each odd-numbered year and delinquent after June 16, after which the state can dissolve the company administratively (Nebraska SOS, annual and biennial reporting). Missing one report can therefore cost the LLC its standing, not just a late fee. The LLC cost comparison shows how the recurring bill compares across states.
Payroll for an S corporation owner
Nebraska follows the federal S election, so the corporation's profit flows to the owner's return like an LLC's. Whether Nebraska adds any entity-level tax for S corporations, or offers an elective pass-through entity tax, could not be verified on an official page today; the calculator adds none. Paying yourself a salary also makes the company a Nebraska employer for unemployment insurance, a cost that grows with the salary. The reasonable salary calculator shows how the saving moves as the salary rises.
